Terms of Service

1. Agreement and eligibility

These Terms of Service (“Terms”) apply to the Apscode website, Apscode One-POS cloud service, desktop application, local-server packages, subscriptions, licences and related support (“Service”). “Apscode”, “we”, “us” and “our” mean the operator of Apscode One-POS.

By creating an account, starting a trial, installing the software or purchasing a plan, you confirm that you have read and accepted these Terms and our Privacy Policy and Cancellation & Refund Policy.

You must be at least 18 years old and legally capable of entering a contract. If you act for a business, you confirm that you are authorised to bind that business.

2. Service scope

Apscode One-POS provides point-of-sale, invoicing, stock, purchasing, customer, reporting, finance and optional category-specific functions. Available functions depend on the selected plan, enabled feature packs, deployment mode and certified hardware integrations.

• Preview and staging environments are for evaluation with sample or fabricated data only.
• Regulated or specialist features are available only when explicitly enabled and certified for the relevant business category.
• Third-party hardware, printer drivers, internet, local networks and banking services are not supplied unless the order expressly says otherwise.

We may improve the Service, correct defects or change non-material interface details. If a change materially reduces a paid core function, we will provide reasonable notice where practicable.

3. Accounts and authorised users

You must provide accurate registration and billing information, protect credentials, assign only appropriate privileges and promptly deactivate users who should no longer have access. You are responsible for activity performed through your authorised accounts unless caused by our failure to apply reasonable security controls.

Notify us promptly of suspected unauthorised access. We may temporarily restrict access where reasonably necessary to protect accounts, data, the payment system or other customers.

4. Trials, plans, prices and payments

• A free trial is limited to the period and capabilities shown during registration. A trial does not create a right to indefinite free access.
• Plan price, currency, billing interval, included limits, taxes (if applicable) and recurring status will be shown before confirmation.
• Paid plan periods begin when the payment gateway confirms payment. Monthly or annual recurring charges occur only where the recurring arrangement is disclosed and selected.
• You may cancel a recurring plan before its next renewal through an available account control or by contacting us. Cancellation stops future renewals but normally does not reverse a completed current-period payment.
• Payments are processed by PayHere or another disclosed payment provider. We receive transaction status and reference information but do not store your full card number or card security code.

Failed, reversed or disputed payments may leave the account pending, in a disclosed grace period or read-only. Expiry or cancellation does not automatically erase business data. Refund eligibility is governed by our Cancellation & Refund Policy.

5. Business data and privacy

You retain ownership of business data you enter into the Service. You grant us the limited permission necessary to host, process, back up, secure and transmit that data to provide the Service.

You are responsible for the lawfulness, accuracy and required notices or permissions for information about your customers, staff, suppliers and other persons. For tenant-entered operational data, the subscribing business ordinarily determines why it is processed and Apscode operates as its service provider, subject to applicable law and the agreed service.

You must maintain appropriate operational backups and verify restore procedures, especially for offline or privately hosted deployments. Our processing practices are described in the Privacy Policy.

6. Acceptable use

You must not use the Service to:

• break applicable law, infringe rights, mislead consumers or process unlawfully obtained data;
• sell prohibited goods or operate a regulated workflow without required licences and controls;
• circumvent subscription, licence, security, audit or usage controls;
• probe, disrupt, overload, reverse engineer or introduce malicious code, except to the extent a restriction is prohibited by law;
• share the Service outside purchased business, branch, user or terminal limits.

We may suspend affected access where there is a credible security, legal, payment or abuse risk, while preserving access to data where reasonably possible and legally permitted.

7. Availability, support and third parties

We use reasonable care to operate the Service securely and reliably, but uninterrupted or error-free operation is not guaranteed. Planned maintenance, internet outages, device faults, external providers and events beyond reasonable control may affect availability.

Offline and local-server options reduce internet dependency only when installed, licensed and tested as described. They do not remove the need for suitable hardware, power protection, network administration and verified off-device backups.

Links and integrations with PayHere, email providers, hosting providers, printers or other third parties are also subject to those providers’ terms and availability.

8. Intellectual property

Apscode and its licensors retain all rights in the Service, software, branding, documentation and site content other than customer-owned data. A paid plan grants a limited, non-exclusive, non-transferable right to use the applicable Service during its valid term and within its stated limits.

9. Cancellation and termination

You may stop using the Service and cancel future recurring billing as described above. We may terminate or suspend service for material breach, unlawful use, non-payment or serious security risk after reasonable notice where circumstances permit.

Before closing an account, request or export available records you are entitled to retain. Some transaction, security, licensing, tax or payment records may be preserved where required for legal, fraud-prevention, dispute or audit purposes.

10. Warranties and liability

The Service is provided with reasonable skill and care. To the maximum extent permitted by law, implied warranties not capable of application to business software are excluded. Apscode is not responsible for losses caused by inaccurate user-entered data, unauthorised user actions, unsupported hardware, external networks/providers or use contrary to documentation.

Nothing in these Terms excludes liability that cannot lawfully be excluded, or limits a consumer or business right that applicable law makes mandatory. Any contractual limitation will be applied fairly in light of the plan purchased and the circumstances of the claim.

11. Changes, disputes and governing law

We may update these Terms to reflect Service, security or legal changes. The current version and effective date will remain published here. Material changes affecting an active paid plan will be communicated reasonably where practicable.

Please contact us first so we can investigate and attempt a fair resolution. These Terms are governed by the laws of Sri Lanka, and disputes are subject to the competent courts and applicable statutory redress mechanisms of Sri Lanka.
